ARTICLES OF INCORPORATION

OF

DELAWARES OF IDAHO, INC.

We the under­signed, being eigh­teen (18) years or more of age, do hereby asso­ciate our­selves together for the pur­pose of form­ing a cor­po­ra­tion under the statutes of the State of Idaho.

ARTICLE I

NAME

The name of the Cor­po­ra­tion shall be Delawares of Idaho, Inc. and its loca­tion shall be 3677 N. Maple Grove Road, City of Boise, County of Ada, State of Idaho.

ARTICLE I

DURATION

The period of dura­tion of this non-profit Cor­po­ra­tion shall be perpetual.

ARTICLE III

PURPOSE CLAUSE

(a) The pur­pose of this Cor­po­ra­tion shall be to pro­mote the inter­ests and well — being of Delaware Indi­ans, wher­ever they may reside; to encour­age the devel­op­ment of an his­tor­i­cal and tribal tra­di­tion for per­sons descended from Delaware Indian ances­tors; to incul­cate in the mem­bers of the Cor­po­ra­tion a sense of pride and priv­i­lege in being Delaware Indi­ans and descen­dants of Delaware Indi­ans; to make every effort to obtain for the mem­bers of the Cor­po­ra­tion all perquisites, p and rights to which Amer­i­can Indi­ans of The United States of Amer­ica are gen­er­ally enti­tled; to gain for the mem­bers of the Cor­po­ra­tion the rights of com­pen­sa­tion and own­er­ship inter­est to which they are enti­tled in ances­tral lands of the Delaware Indi­ans, wher­ever located; to gain recog­ni­tion as a fed­er­ally rec­og­nized tribe or band of Indi­ans; to do all things nec­es­sary to pro­mote the wel­fare and best inter­ests of mem­bers of the Cor­po­ra­tion as Delaware Indians.

(b) To con­duct and carry on its activ­i­ties in any state or ter­ri­tory of the United States or in any for­eign coun­try in con­for­mity with the laws of such state, ter­ri­tory, or for­eign country.

© To bor­row money and, from time to time, to make, accept endorse, exe­cute, and issue bonds, deben­tures, promis­sory notes, bills of exchange and other oblig­a­tions of the Cor­po­ra­tion for mon­eys bor­rowed or in pay­ment for prop­erty acquired or for any of the other objects or pur­poses of the Cor­po­ra­tion or its busi­ness and to secure the pay­ment of any such oblig­a­tions by mort­gage, pledge, secu­rity inter­est, deed, inden­ture, agree­ment, or other instru­ment of trust, or by other lien upon, assign­ment of, or agree­ment in regard to all or any part of the prop­erty, rights or priv­i­leges of the Cor­po­ra­tion wher­ever sit­u­ated, whether nor owned or here­after to be acquired.

(d) In fur­ther­ance of its cor­po­rate pur­poses, to enter into, make, per­form, and carry out con­tracts of every kind, with any per­son, firm, cor­po­ra­tion, pri­vate, pub­lic, or munic­i­pal body politic, under the gov­ern­ment of the United States, or any ter­ri­tory, dis­trict, pro­tec­torate, depen­dency, or insu­lar or other pos­ses­sion or acqui­si­tion of the United States, or any for­eign gov­ern­ment, so far as, and to the extent that, the same may be done and per formed by a cor­po­ra­tion orga­nized under the Not — for — Profit Cor­po­ra­tion Law.

(e) Sub­ject to the restric­tions or lim­i­ta­tions imposed by law, to pur­chase, or oth­er­wise acquire, hold, own, sell, assign, trans­fer, mort­gage, pledge, cre­ate a secu­rity inter­est in, exchange, or oth­er­wise dis­pose of the shares, bonds, oblig­a­tions, or other secu­ri­ties or evi­dences or indebt­ed­ness of other cor­po­ra­tions, domes­tic and for­eign, of any per­son, firm, or cor­po­ra­tion, do or for­eign, and if desir­able to issue in exchange there­fore bonds or other oblig­a­tions of this Com­pany, and while the owner of such shares to exe­cute all rights, pow­ers, and priv­i­leges of own­er­ship, includ­ing the power to vote thereon; and in fur­ther­ance of the cor­po­rate pur­pose, in the course of the trans­ac­tion of the affairs of the Cor­po­ra­tion, to acquire real and per­sonal prop­erty, rights, and inter­est of every nature, and to exe­cute and issue bonds, deben­tures, and other nego­tiable or trans­fer­able instru­ments, and to mort­gage, pledge, or cre­ate a secu­rity inter­est in any or all of the prop­erty of the cor­po­ra­tion; to secure such bonds, deben­tures, or other instru­ments, upon such terms and con­di­tions as may be set forth in the instru­ment or instru­ments, mort­gag­ing, pledg­ing, or cre­at­ing a secu­rity inter­est in the same, or in any deed, con­tract, or other instru­ment relat­ing thereto.

(f) To acquire, by pur­chase or lease, gift, grant, devise, bequest, or oth­er­wise, lands and inter­ests in this or any other state or ter­ri­tory of the United States or a for­eign coun­try, and to own, hold, improve, employ, develop, use and man­age and deal with any real estate so acquired, and to erect, or cause to be erected, on any lands owned, held, or acquired by the Cor­po­ra­tion, build­ings or other struc­tures, with their appur­te­nances, and to man­age, oper­ate, lease, rebuild, enlarge, alter, or improve any build­ings, or other struc­tures new or here­after erected on any lands so owned, held or occu­pied, and to mort­gage, pledge, sell, con­vey, lease, exchange, trans­fer, or oth­er­wise dis­pose of any lands or inter­ests in lands, and any build­ings or other struc­tures, and any stores, shops, suites, rooms, or part of any build­ings or other struc­tures, at any time owned or held by the Corporation.

(g) To accept sub­di­vi­sions from other per­sons or any unit of gov­ern­ment; to make cap­i­tal con­tri­bu­tions or sub­ven­tions to other not-for-profit cor­po­ra­tions; and to make dona­tions, irre­spec­tive of cor­po­rate ben­e­fit, for the pub­lic wel­fare or for com­mu­nity fund, hos­pi­tal, char­i­ta­ble, edu­ca­tional, sci­en­tific, civic, or sim­i­lar pur­poses, and in time of war or other national emer­gency in aid thereof.

ARTICLE VI

NON-STOCK CORPORATION

The Cor­po­ra­tion shall be non-stock and no div­i­dends or pecu­niary prof­its shall be declared or paid to the mem­bers thereof.

ARTICLE V

CORPORATION TRIBAL COUNCIL

The num­ber of coun­cil­men con­sti­tut­ing the ini­tial Tribal Coun­cil of the Cor­po­ra­tion is nine (9) and shall not be more than fif­teen (15), and not less than five (5); the names and addresses of the per­sons who are to serve as ini­tial coun­cil­men are as follows:

ARTICLE VI

CONDITIONS OF MEMBERSHIP

The con­di­tions of mem­ber­ship in this cor­po­ra­tion are as follows:

Each mem­ber shall be part-blood Delaware Indian, in a min­i­mum amount as may be deter­mined by the Tribal Council.

The remain­der of con­di­tions of mem­ber­ship in this Cor­po­ra­tion shall be deter­mined and fixed by the By-laws.

ARTICLE VII

CORPORATE OFFICICERS

The gen­eral offi­cers of the Cor­po­ra­tion shall be coun­cil chair­man, coun­cil vice — chair­man, coun­cil sec­re­tary, coun­cil assis­tant sec­re­tary, coun­cil trea­surer, coun­cil assis­tant treasurer.

The Tribal Coun­cil may pro­vide for the appoint­ment of such addi­tional offi­cers as they may deem for the best inter­est of the Corporation.

When­ever the Coun­cil may so order, any two offices, the duties of which do not con­flict may, be held by one person.

ARTICLE VIII

ELECTION OF OFFIERS AND COUNCILMEN

The offi­cers shall be elected by the Tribal Coun­cil who shall first be elected by the mem­bers of the Cor­po­ra­tion, and the dura­tion and other con­di­tions of hold­ing office in the Cor­po­ra­tion shall be as estab­lished by the By-laws.

ARTICLE IX

AMENDEMENTS

These Arti­cles may be amended in the man­ner pro­vided by the statutes of the State of Idaho at the time of amendment.
